These Terms of Service ("Terms") govern your use of the services provided by Johansen Holdings Limited operating as Amara ("we," "us," or "our"). By using our services, you agree to these Terms. Please read them carefully.
About Amara
Johansen Holdings Limited operates as Amara, a commercial concierge and market entry coordination service. We facilitate and coordinate business setup processes in the UAE by working with licensed third-party specialists.

Service Model and Scope
What We Do
Amara provides coordination, planning, sequencing, facilitation, and oversight services for:
- Market entry planning and strategy
- Company setup coordination
- Visa and HR service coordination
- Banking enablement facilitation
- Compliance planning and coordination
- Operations enablement support
What We Do Not Do
Amara does not provide regulated professional services. We do not:
- Provide legal advice or act as a law firm
- Provide tax advice or act as an accounting firm
- Provide immigration advice or act as an immigration provider
- Provide financial advice or act as a financial advisor
- Guarantee specific outcomes, approvals, or processing times
All regulated services are delivered by licensed third-party providers under their respective professional licenses. Amara coordinates and facilitates these services but does not provide them directly.
Business Model and Fees
Discovery and Scoping
We offer free discovery and scoping consultations to understand your business needs and market entry requirements.
Coordination Fees
Amara charges coordination fees for our services, which may include:
- Retainer/Subscription Fees: Ongoing coordination and project management services provided on a retainer or subscription basis
- Project Fees: One-time fees for specific coordination projects or service packages
All coordination fees are clearly disclosed before engagement. Fees are separate from third-party service provider fees.
Third-Party Service Fees
Licensed third-party specialists (law firms, PRO services, accounting firms, immigration providers) charge their own fees for regulated services. These fees are separate from Amara coordination fees and are paid directly to the service provider or as pass-through fees clearly disclosed in advance.
Referral Commissions
In some cases, Amara may receive referral commissions from third-party service providers. Where applicable, such commissions are disclosed to clients in accordance with applicable regulations and ethical standards. This does not affect the fees charged to clients or the quality of services provided.
Service Delivery and Third-Party Providers
Amara coordinates with licensed third-party specialists to deliver services. These providers operate independently under their own professional licenses and are responsible for:
- The quality and delivery of regulated services
- Compliance with their professional licensing requirements
- Their own terms of service and client agreements
- Professional liability and insurance coverage
While Amara facilitates coordination and oversight, we are not responsible for the professional services delivered by third-party providers. Clients enter into separate agreements with service providers as applicable.
No Guarantees or Warranties
Amara does not guarantee or warrant:
- Specific outcomes, approvals, or processing times
- That services will meet all client expectations
- That third-party providers will deliver services within specific timeframes
- Regulatory approvals or visa approvals
Business setup, visa applications, and regulatory processes are subject to government and regulatory authority decisions, which are outside our control.
Client Responsibilities
Clients are responsible for:
- Providing accurate and complete information
- Timely responses to information requests
- Payment of coordination fees and third-party service fees as agreed
- Compliance with applicable laws and regulations
- Making independent decisions regarding business setup and service providers
Limitation of Liability
To the maximum extent permitted by law, Amara's liability is limited to the coordination fees paid by the client. We are not liable for:
- Decisions made by government or regulatory authorities
- Services delivered by third-party providers
- Indirect, consequential, or incidental damages
- Loss of profits, business opportunities, or data
Intellectual Property
All content, materials, and intellectual property on our website and in our services are owned by Amara or our licensors. You may not reproduce, distribute, or use our content without permission.
Termination
Either party may terminate service agreements with reasonable notice. Upon termination, clients remain responsible for fees incurred and services delivered up to the termination date.
Governing Law
These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be subject to the exclusive jurisdiction of the courts of Abu Dhabi, UAE.
Changes to Terms
We may update these Terms from time to time. Changes will be posted on this page with an updated "Last updated" date. Continued use of our services after changes indicates acceptance of the updated Terms.
